End User License Agreement (EULA)

This Software License Agreement governs the use of WardWiz security software (including all variants for computers and mobile devices) provided by WardWiz. By using WardWiz, end users agree to comply with these terms, which outline

  • Definitions
  • WardWiz: Refers to WardWiz computer and mobile security software products, including all variants.
  • Company: Refers to WardWiz Deutschland GmbH (Germany) or WardWiz India Solutions Pvt Ltd (India).
  • License: The subscription to WardWiz based on the number of users and years purchased.
  • Third Party: Any person or entity other than the Company or the end user.
  • Documentation: Any document explaining how the software works, whether included with the product or not.
  • End User/User: The person or entity using the authorized device.
  • User Data: All data provided by the user on WardWiz’s website, subpages, or mobile app.
  • Software: All software products developed, sold and marketed by the Company.
  • Responsibilities of the Company
  • The Company will host and maintain the software on its servers. It may delegate tasks to third parties but remains responsible for delivering WardWiz.
  • Technical support will be provided, but the Company is not obligated to offer new releases or services that typically require additional fees.
  • Support services, including on-call and on-field support, will be provided as needed. On-field support may incur additional charges.
  • The Company will release timely updates to its database for users.
  • Responsibilities of the User
  • Cooperate with the Company during software setup.
  • Maintain necessary hardware, software and internet connections to access WardWiz.
  • Ensure WardWiz is not resold to unauthorized third parties.
  • Use WardWiz only for personal or enterprise purposes, as per the purchased variant.
  • Comply with applicable laws while using WardWiz.
  • Notify the Company immediately in case of product key loss or theft.
  • The User is solely responsible for the accuracy of data provided to the Company.
  • Right to Monitor

The Company may monitor the use of WardWiz to ensure compliance with this agreement and to improve the software’s performance and security.

  • License Grant

If you’ve purchased a license, the Company grants you a limited, non-exclusive, non-transferable and revocable license to install and use the software on authorized devices, as per the documentation.

  • License to Company

The User grants the Company a worldwide, non-exclusive, royalty-free license to use, reproduce and transmit user data solely to provide services under this agreement.

  • Payment and Taxes
  • Users must pay the subscription fees as specified. Fees may change upon renewal.
  • Prices include all applicable taxes, which may change based on tax policies.
  • Restrictions and Scope of Use
  • Users may not reverse engineer, modify, rent, lease, or resell the software.
  • Third-party software included with WardWiz must be used in compliance with its respective licenses.
  • Ownership
  • Users retain ownership of their data and intellectual property.
  • The Company retains ownership of WardWiz, its licensed material and all intellectual property rights.
  • Limited Software Warranty
  • The Company warrants that WardWiz will perform as per the documentation during the license term.
  • If WardWiz fails to perform, the Company will use reasonable efforts to correct the issue, provided the User notifies the Company within 15 days of discovery.
  • Term and Termination

The agreement’s term depends on the license purchased. It begins upon acceptance or activation of the software, whichever is earlier.

  • Confidentiality
  • Both parties agree to protect each other’s confidential information and use it only for purposes related to this agreement.
  • Exceptions include information that is publicly available, independently developed, or disclosed with prior written consent.
  • Limitation on Damages
  • Neither party is liable for indirect, incidental, or consequential damages, except for breaches of confidentiality or indemnification obligations.
  • Liability is limited to the amount paid under the agreement in the one month prior to the event causing the claim.
  • Indemnification

Each party agrees to indemnify the other against third-party claims arising from violations of laws, intellectual property rights, or other legal rights. Exceptions include claims resulting from unauthorized modifications or misuse of WardWiz.

  • Additional Terms for Mobile Applications
  • iOS Apps: The agreement is between the User and WardWiz, not Apple. Apple has no obligation to provide support or warranties for the iOS App.
  • Android Apps: The agreement is between the User and WardWiz, not Google. Google has no obligation or liability regarding the Android App.
  • Miscellaneous
  • Digital Signature: Clicking “AGREE” constitutes a valid electronic signature.
  • Assignment: Neither party may transfer rights or obligations without prior written consent.
  • Force Majeure: Performance obligations are excused in cases of events beyond reasonable control, such as natural disasters or labor disputes.
  • Severability: If any provision is invalid, it will be replaced with one that reflects the parties’ intent.
  • Waiver: No delay in enforcing rights constitutes a waiver.
  • Changes: The Company may update this agreement, with changes posted on its website.
