Access to Managed Services is granted for the specific License Term. If a WardWiz Product is provided under a fully paid perpetual license, the following applies:
Scope of the Standard Terms and Conditions of Business
The standard terms and conditions of business (referred to as “Terms”) apply to all agreements between WardWiz and its Customers regarding the delivery of Products and/or Services, including Software, Updates/Upgrades, Managed Services and related Services. These Terms also apply to future agreements without further reference.
In addition to these Terms, the End User License Agreement (EULA) applies to Product use and the Service Level Agreement (SLA) applies to Services. In case of conflict, these Terms prevail unless a specific term in the EULA or SLA is more favorable to WardWiz. These Terms override any Customer-proposed terms unless WardWiz explicitly agrees to them on www.wardwiz.com.
We reserve the right to modify these Terms at any time, notifying Customers via www.wardwiz.com. Customers may object within four weeks of notification. If no objection is raised, changes are deemed accepted. If objected, the agreement continues under the existing Terms, or WardWiz may terminate licenses or agreements.
WardWiz’s presentation of Products and Services online or in print is informational and not a binding offer. A binding agreement is formed when the Customer places an order and WardWiz accepts it via written confirmation or by providing Products/Services (e.g., download or Login). Orders are subject to these Terms, the EULA and/or SLA. If the Customer withdraws or terminates an agreement within the statutory period, WardWiz will refund fees on a pro-rata basis. Deviations from these Terms must be explicitly agreed upon on www.wardwiz.com.
The EULA and SLA define the Customer’s rights to use WardWiz Products and Services. Upon payment, the Customer is granted non-exclusive, non-transferable rights to use the Software or Managed Services during the License Term. WardWiz retains all rights to the Products and Services. Upon termination, the Customer’s License ends and all Software must be deleted. The product lifecycle, published on www.wardwiz.com, governs Software compatibility and support.
Customers must comply with these Terms, the EULA and SLA. Software must not be reproduced, transferred, or decompiled unless permitted by law or the EULA. Multiple Use is allowed only with specific Licenses. Unauthorized use may lead to legal action.
Resellers may transfer Licenses to third parties but must not grant additional rights or reproduce Products. Breaches incur liquidated damages of USD 20,000 per violation.
WardWiz’s delivery obligations are governed by the order confirmation, these Terms, the EULA and/or SLA. Partial deliveries are permitted if reasonable. Technical changes to enhance operability are allowed. Risk passes to the Customer upon shipment or download. Claims for late delivery require a three-week grace period. Force majeure events allow either party to rescind the agreement.
Licenses may renew automatically at the end of the License Term.
Customers must install Updates/Upgrades to maintain Software functionality. They are responsible for setup, data backup and compliance with WardWiz’s instructions. Defects or changes in contact information must be reported promptly.
WardWiz warrants that Products and Services conform to material specifications but does not guarantee error-free operation or fitness for specific purposes. Failure to install Updates/Upgrades voids warranties. High-risk uses are excluded from warranty coverage. Defects are rectified through repair or substitute delivery. Warranty claims for perpetual licenses lapse after one year.
WardWiz is liable only for damages resulting from gross negligence or intentional misconduct, limited to fees paid in the preceding 12 months. Liability for defects expires at the agreement’s termination.
WardWiz retains title to Products until full payment. Unpaid Products may be reclaimed and Licenses lapse upon demand for return.
Refunds are processed within seven working days if all terms are met, based on the original payment method.
Invalid provisions do not affect the remaining Terms. Customers are responsible for permits and compliance in the destination country.
